Provider agreement
This draft agreement sets out the terms between LokalMatch and the pros who use it: how leads are priced and charged, what we check, how ranking works and what isn't allowed.

About this draft
Requires legal review before production publication. This is a working draft, not final legal language, and it may change before LokalMatch launches publicly. It isn't a statement that LokalMatch meets the requirements of any particular law.
Some sections cover saved-card charging, subscriptions, provider offers, job payments and payouts, and rewards funding, which aren't available yet. Those sections will apply only once the feature launches in your country, and we'll tell you before they do.
Who this agreement is with
This agreement is between LokalMatch and the business that holds the provider account. Open item for legal review: the LokalMatch legal entity, its address and the contracting entity for each country will be named here before launch.
You confirm that you're acting for a business, including as a sole trader, and that the person accepting has authority to bind it. Protections that the law gives sole traders and small businesses still apply.
You're an independent business
You decide how to run your business, which jobs to take, how to do the work and what to charge. You aren't LokalMatch's employee, agent or partner.
Quotes and contracts for work are in your name, with your licence numbers where they're required. LokalMatch doesn't negotiate, bid or sign contracts for you.
Your profile and verification
- Give accurate information about your business, services, service areas, licences, registrations and insurance, and keep it up to date.
- Hold every licence, registration and insurance policy your work requires where the job is, and tell us promptly if one lapses, is suspended or changes.
- We check the details you give us against the evidence or public registers available to us, and record what we checked and when. A check is a record at a point in time, not a guarantee.
- Verification labels describe exactly what was checked, and a label must come off when the licence or insurance behind it expires, is revoked or can't be confirmed. Open item for legal review: automatic expiry of labels isn't built yet; until it is, we remove labels by hand when we learn of a lapse.
- Don't display a LokalMatch verification label, badge or rating, on or off LokalMatch, after it has lapsed or been removed, and don't claim checks we didn't do.
Leads and lead fees
Lead prices are set by service, location and project type. Before you accept a lead, you see its price, with its currency, and a summary of the job. You pay only for leads you accept, and the charge applies whether or not you win the job.
We may change lead prices. A change never affects a lead you've already accepted, and we'll give you advance notice of changes to how leads are priced or charged. Open item for legal review: the minimum notice period (we propose at least 14 days).
Lead fees are charged in the currency shown. Where we're required to charge tax on our fees, it's added and shown on your receipt.
Credits first, then your saved card
When you accept a lead, we use your prepaid LokalMatch credits first. Once saved cards are available, if your credits don't cover the full price and you've authorised card charging, we charge the rest to your saved card when the lead is delivered to you.
Paid credits don't expire. Promotional credits, if we give any, are shown separately and may have an expiry date that we tell you when they're issued.
Saved-card authorisation (planned)
Saving a card is optional. When you save one, you'll be asked to agree to a separate authorisation, never ticked for you, that states:
- that you authorise LokalMatch to charge the card ending in the digits shown, without further action from you;
- what it's charged for: each lead you accept, at the price shown before you accept it, and your subscription if you choose one;
- when charges happen: when a lead is delivered to you, and on your subscription's billing date;
- any spending limit you set, and how to pause leads, change your card or remove it in your billing settings;
- how we'll tell you about changes to prices or to these charging rules before they take effect; and
- that the authorisation lasts until you remove the card or close your account.
Receipts, failed charges and card changes
- We send a receipt for every charge, showing the lead, the amount, any tax, the currency and the last four digits of the card.
- We keep a record of your authorisation for as long as it lasts, plus the period in which a charge can be disputed.
- If a charge fails or your bank asks you to confirm it, we pause paid leads and ask you to confirm or update your card. We don't retry a declined charge without your action.
- If your card is replaced by a card of a different brand, we'll ask you to authorise the new card before charging it.
- Card details are collected and stored by our payment processor, Stripe. LokalMatch doesn't see or store your full card number.
Subscriptions (optional, planned)
We may offer optional subscriptions, for example with discounts or extra tools. A subscription will never be required to receive leads, and it won't change your position in ranking or matching.
Before you subscribe, we'll show the price, currency, billing frequency, renewal date, taxes and what ends when you cancel. You'll be able to cancel online in your settings, in no more steps than it took to sign up, without calling us.
We'll tell you at least 30 days before a subscription price changes, and before any promotional price ends. If you don't accept a change, you can cancel before it takes effect without a penalty.
Invalid leads and refunds
If a lead is invalid, you can ask for a refund review from your dashboard. Our refund policy explains what counts as an invalid lead, how we decide and how refunds are paid.
Provider offers (planned)
Once offers are available, you can publish offers for homeowners, such as an amount off your quoted price. You fund your offers, you must honour them as published, and they must follow our provider offer terms, including the rules on reference prices and all-in pricing.
Rewards funding (planned)
Lokal Rewards are funded by LokalMatch unless an offer or campaign you've agreed to says you fund them. When LokalMatch funds a reward that a homeowner uses on your job, you still receive your full share of the price.
When you've agreed to fund a reward, its amount is deducted from what we pay you for that job and shown on your statement. We never deduct rewards funding you haven't agreed to in advance.
Job payments and payouts (planned)
When homeowners can pay for jobs through LokalMatch, you'll need a Stripe account connected to LokalMatch to receive payouts, and you'll accept Stripe's terms for connected accounts. Payments are processed by Stripe and paid out to you after the milestone or job they relate to is approved or confirmed complete, as set out in our payment terms.
If a homeowner payment is refunded or disputed, we may reverse the matching payout, or deduct it from future payouts, in proportion to the amount refunded or lost. Every deduction is shown on your statement.
Tax
You're responsible for charging, collecting and paying any tax on your work, such as GST/HST, QST, VAT or sales tax, and for your own income tax. Only add tax to a quote if you're registered to charge it, and keep your registration numbers up to date on LokalMatch. We charge tax on our own fees where we're registered to.
Once pros are paid through LokalMatch, we'll have to collect tax information from you and report what we pay you to tax authorities. We may hold payouts until you give us the information we need.
- Canada: platform operators report sellers of services to the Canada Revenue Agency, with no minimum threshold for services. We'll ask for your social insurance or business number, your date of birth if you're an individual, and your address.
- United States: we may ask for a Form W-9 and issue Form 1099-K where your payouts pass the federal reporting thresholds.
- United Kingdom: while LokalMatch operates from Canada, UK pros paid through LokalMatch are reported to the Canada Revenue Agency, which exchanges information with HMRC.
- Australia: Open item for legal review: whether payouts to Australian pros must be reported to the Australian Taxation Office under its sharing economy reporting rules.
Homeowner information
- Use a homeowner's details only to respond to the request you accepted and to do the job they hire you for.
- Don't sell, share or reuse homeowner details, add them to marketing lists, or contact homeowners about unrelated offers.
- Keep homeowner details secure, and delete them when you no longer need them for the job, your records or the law.
- Follow the anti-spam, telemarketing and privacy laws that apply to you, such as CASL in Canada, the TCPA and CAN-SPAM in the United States, PECR in the United Kingdom and the Spam Act in Australia.
- Tell us right away at trust@lokalmatch.com if homeowner details you received are lost, stolen or misused.
Reviews
- Don't write, buy, arrange or ask for fake reviews, including reviews from you, your staff, your relatives or anyone else connected to your business.
- Don't offer money, discounts, refunds, gifts or anything else for a review, for a particular rating, or for changing or removing a review.
- Don't ask only your happy customers for reviews. LokalMatch invites homeowners itself, whatever their experience, and you can't choose or stop those invitations.
- Don't threaten, pressure or harass anyone over a review, or make a refund or a repair depend on a review.
- You can respond publicly to reviews of your business. Responses must be factual and polite, and must not include threats, accusations of fraud or anyone's personal information.
- We never remove a genuine review because you object to it. If you believe a review breaks our review policy, report it and we'll look at the evidence.
Prohibited conduct
Our acceptable use policy applies to you. For pros, these are also serious breaches of this agreement:
- misrepresenting your business, credentials, prices or availability;
- accepting leads you can't follow up on, or opening more than one provider account;
- asking for deposits or progress payments above the limits that apply where the work is done, or before the work or materials for that stage are delivered where the law requires it;
- visiting or calling a homeowner to sell work they didn't ask about; and
- using LokalMatch to send spam or to discriminate against anyone.
Main ranking parameters (UK platform-to-business draft clause)
This clause sets out the main parameters that decide how pros are ordered on our pages and which pros can receive a request, and why they matter. It's drafted with the UK platform-to-business rules in mind and applies to pros in every country. Our How we rank pros page explains the same rules for homeowners.
- Eligibility for a request: your account is active with at least your email address and phone number verified; you offer the service, haven't excluded it and serve the location; you're accepting requests and haven't reached the daily or weekly limit you set; you take requests with that timing; and the homeowner's budget, if given, isn't clearly outside your range. These make sure requests only reach pros who can take them.
- Service fit and coverage: pros who offer the exact service come before pros who offer the broader trade, and pros who list the city or postal area come before pros who cover it by travel radius or across the province. This carries the most weight because it's the best sign that you can do the job.
- Verification level: pros with more of their details checked rank higher, because homeowners rely on those checks.
- Reviews: the number of published, moderated reviews, and your rating once you have at least three published reviews, so one or two reviews can't swing the result.
- Responsiveness: how often and how quickly you reply to requests, because homeowners want timely answers.
- Capacity, budget fit and, for urgent jobs, emergency availability.
- Fair distribution: pros who recently received many requests get slightly less weight, so opportunities are spread among qualified pros.
- On listing pages, when everything else is equal, pros are listed alphabetically.
Payments and ranking
Paying LokalMatch doesn't affect ranking or matching. Lead fees, credits, subscriptions, provider offers and rewards funding don't buy a higher position or earlier access to requests.
If we introduce paid placements, they'll be labelled as ads, kept separate from ranked results, and described here, including how payment affects placement, before they launch. Open item for legal review: whether LokalMatch is an online intermediation service under the UK rules, and the notice periods that apply to changes, restrictions and termination.
Suspension and ending this agreement
You can close your provider account at any time. Unused paid credits are handled as set out in our refund policy.
We may restrict, suspend or close an account that breaks this agreement, puts homeowners at risk or misuses LokalMatch. Unless the law or someone's safety prevents it, we'll tell you why and give you a chance to respond. To ask us to review a decision, write to pros@lokalmatch.com.
Liability, governing law and changes
To the extent the law allows, neither party is responsible to the other for indirect losses. Open item for legal review: liability limits, indemnities, governing law and courts for each country, and Australia's unfair contract terms rules, which protect small businesses from one-sided terms.
We'll give you advance notice of changes to this agreement, and you can close your account before a change takes effect if you don't accept it. Questions? Write to pros@lokalmatch.com.
